End User License Agreement for LE7EL SDK:

PLEASE READ THIS END USER LICENSE AGREEMENT (EULA) CAREFULLY BEFORE USING THE LE7EL SDK. BY USING THE SDK, YOU AGREE TO BE BOUND BY THE TERMS AND CONDITIONS OF THIS EULA.

1. LICENSE GRANT: Subject to the terms and conditions of this EULA, LE7EL grants you a non-exclusive, non-transferable, limited license to use the LE7EL SDK solely for the purpose of creating and publishing virtual worlds and games for use within the LE7EL XR app.

2. INTELLECTUAL PROPERTY: The LE7EL SDK and all content and materials within the SDK, including but not limited to templates, classes, metadata, and documentation, are the intellectual property of LE7EL and are protected by intellectual property laws, including but not limited to copyright and trademark laws. You acknowledge and agree that LE7EL retains all ownership rights, title, and interest in and to the SDK, and any modifications or derivatives thereof, and that your use of the SDK does not grant you any ownership or intellectual property rights in the SDK.

3. LICENSE RESTRICTIONS: You shall not, and shall not allow any third party to, (a) copy, modify, distribute, sell, lease, sublicense, or otherwise transfer or exploit the SDK or any portion thereof, (b) reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the SDK or any component thereof, (c) remove or alter any proprietary notices or labels on the SDK or any component thereof, (d) use the SDK to create a product or service that competes with or replicates the features or functionality of the LE7EL XR app or LE7EL's products or services, (e) use the SDK in any manner that violates applicable laws or regulations, or (f) use the SDK in any manner that is harmful, offensive, or otherwise objectionable.

4. SUPPORT AND UPDATES: LE7EL may provide updates, upgrades, or patches to the SDK from time to time at its sole discretion. You acknowledge and agree that LE7EL has no obligation to provide support or updates for the SDK, and LE7EL may discontinue the SDK at any time without notice.

5. DISCLAIMER OF WARRANTIES: THE SDK IS PROVIDED "AS IS" AND WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. LE7EL DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. LE7EL DOES NOT WARRANT THAT THE SDK WILL MEET YOUR REQUIREMENTS, THAT THE OPERATION OF THE SDK WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT ANY DEFECTS IN THE SDK WILL BE CORRECTED.

6. LIMITATION OF LIABILITY: IN NO EVENT SHALL LE7EL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH THE USE OF THE SDK, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE, EVEN IF LE7EL HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. LE7EL'S TOTAL AGGREGATE LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THIS EULA SHALL BE LIMITED TO THE AMOUNT PAID BY YOU, IF ANY, FOR THE USE OF THE SDK.

7. TERM AND TERMINATION: This EULA shall remain in effect until terminated by either party. You may terminate this EULA by ceasing all use of the SDK and deleting all copies of the SDK from your systems. LE7EL may terminate this EULA at any time without notice, for any reason or no reason, including but not limited to your breach of this EULA. Upon termination, you shall cease all use of the SDK and delete all copies of the SDK from your systems

8. THIRD-PARTY SERVICES: The SDK may include links, services, or content from third parties, which are not under the control of LE7EL. You acknowledge and agree that LE7EL is not responsible for the availability, accuracy, legality, appropriateness, or any other aspect of such third-party services or content. Your use of third-party services is subject to their respective terms of service and privacy policies, and you agree to comply with such terms and policies when using such third-party services in conjunction with the SDK.

9. INDEMNIFICATION: You agree to indemnify, defend, and hold harmless LE7EL, its affiliates, officers, directors, employees, contractors, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with your use of the SDK, your breach of this EULA, or your violation of any applicable laws or regulations.

10. GOVERNING LAW AND DISPUTE RESOLUTION: This EULA shall be governed by and construed in accordance with the laws of the jurisdiction where LE7EL is incorporated, without regard to its conflicts of law provisions. Any dispute arising out of or in connection with this EULA shall be resolved by binding arbitration in accordance with the rules of the arbitration body designated by LE7EL, and judgment upon the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof. You waive any right to participate in any class or collective action or proceeding, and agree to waive any right to a jury trial.

11. ADDITIONAL TERMS: In addition to the terms and conditions set forth in this End User License Agreement (EULA), your use of the LE7EL SDK for Unreal Engine is also subject to the terms and conditions set forth in the Unreal Engine End User License Agreement (EULA) available at https://www.unrealengine.com/en-US/eula/unreal, which are incorporated herein by reference. By using the LE7EL SDK, you acknowledge and agree to comply with the terms and conditions of the Unreal Engine EULA, including your liability for license payments to Epic as outlined in the Unreal Engine EULA if and when you generate revenue that qualifies for such license payments, in addition to the terms and conditions of this EULA.

12. MISCELLANEOUS: This EULA constitutes the entire agreement between you and LE7EL regarding the subject matter hereof, and supersedes all prior or contemporaneous agreements, understandings, or representations, whether oral or written. If any provision of this EULA is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. No waiver of any breach or default of this EULA shall be deemed to be a waiver of any preceding or subsequent breach or default. This EULA is binding upon and shall inure to the benefit of the parties hereto and their respective successors and assigns.

By installing or using the LE7EL SDK, you acknowledge that you have read, understood, and agree to be bound by the terms and conditions of this End User License Agreement. If you do not agree to these terms, you must not install or use the SDK.
